When is a legal entity subject to tax in Switzerland?
Legal entities are subject to unlimited tax liability as soon as their registered office or place of effective management is located in Switzerland. The tax rate varies depending on the canton. Legal entities are required, among other things, to pay taxes on profits and capital.
Legal entities are subject to limited tax liability if their registered office or place of effective management is abroad but they generate certain income in Switzerland or hold capital there.
Am I considered a legal entity as a sole proprietor?
A sole proprietorship is considered a natural person. A sole proprietorship does not have its own legal personality. Accordingly, the sole proprietor is taxed on all income and assets from both business and private activities.

Which taxes apply to legal entities?
The most important direct taxes for legal entities are profit tax and capital tax. In practice, additional direct and indirect taxes and duties apply, such as withholding tax (VSt), church tax, real estate capital gains tax, real estate transfer tax, motor vehicle tax, stamp duties, import duties, mineral oil tax, and value added tax (VAT). These components together make up the tax invoice and the overall tax burden for companies.
What happens if the tax return is submitted late or not at all?
If a legal entity fails to submit its tax return on time, it will receive multiple reminders from the tax authorities. If the obligation is still not fulfilled, the tax authorities will assess the tax at their own discretion.
In addition, the tax administration may impose a fine on the legal entity.
If the tax authorities assess the tax too low, the taxpayer may face subsequent tax and penalty proceedings or even proceedings for tax evasion.
Fines may also be imposed if obligations to cooperate, provide information, report, or certify are violated, for example due to failure to maintain proper accounting records, failure to issue salary certificates to employees, incorrect completion of salary certificates, etc. The amount of the fine depends on the significance of the violation and the degree of fault.
Can a legal entity be exempt from taxes?
Legal entities are generally subject to tax. However, if they pursue a charitable, public, or cultural purpose, legal entities such as associations and foundations may apply for tax exemption.
